Corporate prerequisites

Before a Department of Insurance will even license your entity, there’s usually a layer of corporate housekeeping with the Secretary of State. Miss these and the DOI application stalls.

Foreign Secretary-of-State qualification (certificate of authority)

Every state requires a “foreign company” — an entity that is resident in another state — to obtain a certificate of authority from the Secretary of State if it’s going to conduct business there. GROUNDED · Fenwick

Entity formation & naming

The California name exception (plan early)

California is the only state that requires separate approval of an agency’s name before filing for licensing. The CA name: GROUNDED · Fenwick

• must not mislead the public,
• must clearly indicate the licensee is an insurance producer — generally must include the word “insurance” followed by a descriptor such as “agency,” “marketing,” “sales,” “solutions,” or “services,”
• must not include restricted words/phrases like “Advisor” or “State.”

5. Then file the entity DOI license (with a DRLP).
